Terms of Service

1. Introduction

These Terms and Conditions apply to all services provided by studionathan (trading as Nathan Snell).

2. Services

The scope of work will be defined in the initial quote provided to the client. Any additional requests outside of the agreed quote will be treated separately. These additional requests may either:

• Be worked on at an hourly rate, or

• Be subject to a new quote, to be agreed upon before work begins.

3. Payment Terms

studionathan may request a percentage of the total project fee to be paid upfront, depending on project costs (such as materials) and the scale of the project. This decision will be made at the discretion of studionathan and communicated clearly to the client.

• Invoices not settled after the initial payment period may incur a 5% monthly surcharge on the total project fee, starting the day after the payment period ends.

• Final deliverables will be transferred to the client at the same time as the invoice is sent. The client is expected to pay promptly upon receipt of the final files and invoice. Until full payment is received, studionathan retains ownership of the work.

4. Ownership of Work and Usage Limitations

• All work produced by studionathan remains my intellectual property until full payment is received.

• Upon full payment, the client is granted a non-exclusive, non-transferable license to use the final deliverables for the agreed purposes. This license does not permit the resale of the work to third parties without explicit permission from studionathan.

• If payment is not made, the client does not own the work, and any use of the work without permission will constitute an infringement of intellectual property rights, which may result in legal action.

5. Revisions and Alterations (Scope of Work)

• Two rounds of revisions are included within the original project scope.

• Any additional changes requested after the two rounds of amends may:

• Be charged at an hourly rate of £50 (or an adjusted rate at my discretion), or

• Be subject to a new quote and invoice.

• I reserve the right to determine if a revision is within the original scope of work or if it qualifies as an additional request requiring new terms.

6. Force Majeure

studionathan shall not be liable for any failure to perform its obligations under these terms if such failure is caused by circumstances beyond my reasonable control (e.g., natural disasters, government actions, or other emergencies). I will make reasonable efforts to communicate and overcome any delays caused by such events.

7. Confidentiality

All client information, project details, and work produced by studionathan will be treated as confidential unless otherwise agreed. This confidentiality extends to the project brief, feedback, and any sensitive materials provided by the client.

• Upon completion of the project (once final files and invoice are sent to the client), studionathan reserves the right to display the work produced, including the brief, feedback information, process, and final outcomes/mockups in my portfolio or promotional materials.

• Similarly, the client agrees not to share drafts or unfinished work without my permission.

8. Termination Clause

Either party may terminate the contract if the other party breaches a material term of the agreement and fails to rectify the breach within 14 days of written notice. In addition, if the client causes significant delays in providing feedback or necessary materials, studionathan reserves the right to terminate the agreement and send over the files and a final invoice for the work completed up to that point.

9. Warranties and Guarantees

No guarantees are made regarding specific outcomes (e.g., increased sales or engagement) resulting from the use of the deliverables. The client is responsible for the usage of the final product.

10. Project Timelines

Project timelines will be agreed upon before work begins. Any delays caused by the client (e.g., delayed feedback or missing assets) may result in adjusted deadlines. In cases of significant delays, studionathan may terminate the contract as outlined in section 8.

11. Operating Hours

studionathan typically operates under standard UK business hours: 9 am to 5 pm, Monday to Friday. The client acknowledges that work is likely to be completed within these hours, and any requests or communications made outside of this timeframe may not be addressed until the next business day(s).

12. Amendments to Terms

These terms and conditions are subject to change. studionathan will provide notice of any updates or amendments, which will apply to future projects or agreements. For ongoing projects, the existing terms at the time of agreement will remain in place unless both parties agree to adopt the new terms.

13. Use of Work for Portfolio

studionathan reserves the right to display any work produced for the client in my portfolio, on my website, or in promotional materials. This may include any work created during the design process, not just the final outcome selected by the client.

• I retain the right to showcase the designs that I feel best represent my work, even if the client ultimately chooses a different direction.

14. Liability

I am not responsible for any loss or damages resulting from the use of the work delivered, and my liability shall be limited to the amount paid by the client for the services provided.

15. Acceptance of Terms

By accepting a quote through Xero or email, you acknowledge that you have read, understood, and agree to these Terms and Conditions. The acceptance of a quote forms a contract between studionathan and the client.
